With a view to publish the summons, the following documents must be directly submitted to
CVRP or sent by fax:
· official submitting
letter, which shows: the request for publication, the legal ground of the
publication, data on the delegated person, the fiscal code;
· the summons stamped and
signed by the legal representative of the company (the president of the board
of directors/sole manager, respectively the president of the directorate/sole
general manager, the president of the supervision council or, in exceptional
cases the person/persons authorized to represent the company, as they are registered
to the Trade Registry Office where the company is registered); the summons must
include: the type of the meeting, the date, the hour, the place, the agenda by
points (by separating the agenda of the ordinary sitting from that of the
extraordinary sitting), the reference date, the day and hour for the 2nd
meeting in case the first one might not be summoned;
· copy after the court’s
decision, in the case stipulated under article 119 paragraph (3);
· annex with the report on
characters (including spaces);
· document attesting the
payment of the publication fee.
In case of the publication of the addition of the
agenda, mention shall be compulsorily made, in the text to be published, about
the publication of the initial summoner in the Official Journal of Romania,
Part IV, showing its number and date. The same reference shall also be made in
the contents of the text to be published according to art. 118 paragraph
(3).
The summons, accompanied by the said documents, shall
be submitted around 32 days before the date of the sitting. In case of
completing the agenda, at the request of the shareholders, the documents shall
be submitted 12 days before the date of the sitting.
The publication fee is of 90 lei/2000 characters,
including spaces.
In the case of the documents sent by fax, at the
moment of registration they shall also issue the invoice falling due in 10 days
for the publication fee, and the equivalent value of the journal. The journal
shall be sent by post, after publication.
